KARACHI: The Competition Commission of Pakistan (CCP) has approved Bazaar Technologies (Private) Limited’s acquisition of a 100 per cent stake in Wemsol (Private) Limited, clearing the way for the deal under the Competition Act, 2010, said a statement on Friday.
The acquisition will be carried out either directly by Bazaar Technologies or through its subsidiary, Beta Holding Private Limited (BHPL). The transaction falls within the electronic money institution (EMI) services and point-of-sale (POS) terminal markets, with Pakistan defined as the relevant geographic market based on supply conditions and consumer preferences.
The CCP has classified the transaction as a conglomerate merger, noting that there are no horizontal or vertical overlaps between the two companies. Bazaar Technologies operates in the e-commerce sector, while Wemsol provides POS and EMI services. Given their distinct business models, the deal is not expected to reduce competition in any market.
As part of its regulatory review, the CCP assessed the acquisition’s potential impact on market dynamics, consumer choice, and competition. Under the Competition Act, 2010, the Commission is tasked with evaluating mergers to prevent anti-competitive practices and excessive market concentration.
It concluded that the transaction does not pose competition concerns and granted clearance accordingly. The regulator reaffirmed the importance of pre-merger approvals in ensuring compliance with competition laws, promoting market transparency and maintaining a competitive economic environment.
